Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and ReplyDeskPro ("ReplyDesk", "we", "us") and govern your access to and use of the ReplyDesk application, website, and related services (the "Service"). By using the Service or purchasing a ReplyDesk Pro license, you agree to these Terms. If you do not agree, do not use the Service.

1. What ReplyDesk does

ReplyDesk helps you draft on-brand replies to customer reviews and messages. It runs primarily in your browser and uses an AI model from Anthropic. You connect the Service using your own Anthropic ("Claude") API key, and you may optionally connect a Google account to import your business reviews. ReplyDesk generates suggested drafts; you decide what to publish.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of a business, you represent that you are authorized to bind that business to these Terms.

3. Licenses, plans & payment

ReplyDesk offers a Pro license on a monthly ($19/mo) or annual ($149/yr) basis. Payments are processed by Lemon Squeezy, our Merchant of Record. Lemon Squeezy is the seller of record for your purchase and handles billing, payment, and applicable taxes; their terms and privacy policy also apply to the transaction. Your license key unlocks Pro features and is validated against Lemon Squeezy. Subscriptions renew automatically until cancelled. Refunds and cancellations are governed by our Refund Policy.

4. Your responsibilities & acceptable use

• You are responsible for your own Anthropic and Google credentials, for keeping them secure, and for complying with those providers' terms and usage limits, including any fees they charge you for API usage.
• You agree not to misuse the Service: no unlawful, deceptive, harassing, or infringing use, no attempts to break, overload, reverse-engineer, or resell the Service, and no use that violates the terms of Anthropic, Google, or Lemon Squeezy.
• You are responsible for the content you submit and for reviewing every AI-generated draft before you publish or send it.

5. AI-generated content

Drafts produced by the Service are suggestions generated by a third-party AI model. They may be inaccurate, incomplete, or inappropriate for your situation. You are solely responsible for reviewing, editing, and approving any output before it is used. We do not warrant that AI output is accurate, reliable, or fit for any particular purpose.

6. Intellectual property

ReplyDesk, including its software, design, and branding, is owned by us and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service while your license is active. You retain ownership of the content you provide and the drafts you generate from it. Third-party names and marks (including Anthropic, Claude, and Google) belong to their respective owners and are referenced for identification only.

7. Third-party services

The Service depends on third parties — Anthropic (AI), optionally Google (reviews), Lemon Squeezy (payments), and our hosting provider. We are not responsible for the availability, accuracy, or actions of those services, and your use of them is subject to their own terms.

8. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

9. Limitation of liability

To the maximum extent permitted by law, ReplyDesk will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Our total liability for any claim relating to the Service is limited to the amount you paid for the Service in the twelve months before the event giving rise to the claim.

10. Termination

You may stop using the Service at any time and cancel your subscription as described in the Refund Policy. We may suspend or terminate access if you breach these Terms or use the Service in a way that creates risk or legal exposure for us or others.

11. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Material changes will be reflected here, and your continued use of the Service after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the jurisdiction in which the seller is established, without regard to conflict-of-laws rules. Nothing here limits any consumer-protection rights you may have under the mandatory law of your country of residence.
